Parties

BonaCode, a sole trader (działalność gospodarcza) established in Poland, NIP: 9442258935, owner and operator of the Mniam App, with contact email: kontakt@mniamapp.com,

hereinafter referred to as: "Mniam", "We", or "Us";

and

The party who uses the Mniam App's Services as defined below,

hereinafter referred to as: "User" or "You".

These Terms of Use apply to the use of the Mniam App by the User. By registering as a Mniam App User, you agree to be bound by these Terms of Use. These Terms of Use are effective as of the date of your registration or the date you otherwise begin using the Services. An integral part of these Terms of Use is Mniam's Privacy Policy, available at https://mniamapp.com/privacy-policy, which is incorporated by reference into the Agreement.

1. Definitions

"Account" means the User profile created upon registration, allowing access to the features of the Mniam App, the scope of which may differ depending on the subscription plan.

"Agreement" means the agreement under which the User is entitled to use the Services pursuant to these Terms of Use.

"Collection" means a user-created grouping of Recipes under a collective title, organised by the User within the Mniam App.

"Consumer" means a User who is a natural person acting for purposes outside their trade, business, craft, or profession.

"Consumer with Trader Rights" (Entrepreneur with Consumer Rights) means a natural person who performs a legal transaction with a trader where the nature of the transaction indicates that it is not of professional character for that person.

"Digital Content" means data produced and supplied in digital form, including but not limited to recipes, images, comments, and collections within the Mniam App.

"Free Plan" means the no-cost tier of the Mniam App granting access to basic features as described in Section 2.

"Mniam App" or "App" means the mobile application owned and operated by BonaCode, available on Android and iOS platforms.

"Mobile Device" means a portable electronic device (e.g. smartphone or tablet) capable of running the Mniam App.

"Premium Plan" / "Paid Subscription" means a paid subscription tier granting access to extended features of the Mniam App, as described in Section 4.

"Recipe" means a structured entry created by a User in the Mniam App containing ingredients, preparation steps, nutritional information, and/or photos.

"Services" means any services provided electronically by BonaCode to Users via the Mniam App, including the ability to create, save, organise, and discover Recipes.

"Subscription Period" means the recurring billing period (monthly or annual) for which the Premium Plan is purchased.

"Tag" means a keyword or category label assigned to a Recipe to facilitate search and filtering.

"User Content" means any Digital Content shared in the Mniam App by the User, including Recipes, photos, collections, and comments.

2. Description of the Services

2.1 What Mniam Offers

Mniam is a recipe management mobile application that helps users save, organise, and discover recipes. Within the App, you can in particular:

• Browse and discover public Recipes shared by other home cooks;
• Create and save your own Recipes with ingredients, steps, preparation time, calories, and macro-nutrients;
• Organise Recipes into custom Collections (e.g. "Pizzas", "Quick Lunches");
• Add Recipes to your Favourites for quick access;
• View other users' public profiles and their shared Recipes;
• Search for Recipes by name and filter by category, tags, or dietary preferences;
• Register and log in via email or Google account;
• Access additional features that may be offered under a Premium Plan (see Section 4).

2.2 Service Availability

We will make reasonable efforts to ensure the Mniam App operates correctly. Access to Services may be limited in the event of:

• technical malfunctions or errors;
• maintenance or modification of IT systems;
• force majeure events;
• actions of third parties beyond Mniam's control.

We will endeavour to notify you at least 3 days in advance of significant planned maintenance that requires extended downtime, and will aim to schedule such work during off-peak hours.

2.3 Minimum Duration

No minimum usage period is set for Users. You are not obligated to use the Services for any fixed duration. No fees are charged for terminating a Free Plan. For the Premium Plan, refer to Section 4.

3. Account Creation

Before using the Services, you must read these Terms of Use and the Privacy Policy. By completing registration, you enter into the Agreement with BonaCode.

To create an Account, you must provide a valid email address, choose a username and password, and accept these Terms of Use and the Privacy Policy. You may alternatively register using your Google account.

After successful registration, we will send a confirmation email to the address you provided, including the latest version of these Terms of Use.

You may only hold one Account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. In the event of suspected unauthorised access, notify us immediately at kontakt@mniamapp.com.

You may update your profile details, including username, profile picture, and description, at any time from within the App.

4. Premium Plans and Subscriptions

4.1 Free Plan

The Free Plan is available to all registered Users at no charge. It provides access to core features including creating and saving Recipes, organising Collections, and browsing the community feed, subject to any usage limits specified within the App.

4.2 Premium Plan

Mniam offers a paid subscription tier ("Premium Plan") that raises the usage limits applied to the Free Plan — including how many Recipes you may create, how many Recipes you may import from a web address, how many Collections you may keep, and how many Recipes a single Collection may hold. Premium limits are counted per Subscription Period rather than for the lifetime of the Account. The applicable limits and pricing are displayed in the App at the point of purchase and may be updated from time to time with prior notice.

4.3 Pricing and Billing

Subscription prices are displayed in the App in Polish złoty (PLN) or the local currency applicable to your region, inclusive of any applicable VAT or local taxes in accordance with EU law. Payments are processed through the platform's payment provider (Google Play or Apple App Store, as applicable) and are subject to their respective payment terms.

Subscriptions are billed on a recurring basis for the Subscription Period selected at the time of purchase; at present the Premium Plan is offered as a monthly subscription only. Your subscription will renew automatically at the end of each Subscription Period unless cancelled in accordance with Section 4.6.

4.4 Free Trial

Where offered, a free trial period allows you to access Premium Plan features at no charge. If you do not cancel before the free trial ends, you will be automatically charged for the selected Premium Plan. The duration and availability of free trials are communicated within the App.

4.5 EU Consumer Right of Withdrawal for Digital Services

Pursuant to Directive 2011/83/EU (as implemented), Consumers have the right to withdraw from the purchase of a digital subscription within 14 days of conclusion of the Agreement, without giving any reason, unless the service has already begun with the Consumer's explicit prior consent and acknowledgment that they thereby lose their right of withdrawal.

By completing the purchase of a Premium Plan subscription and requesting immediate access to the Premium features, you expressly consent to the performance of the contract before the end of the withdrawal period and acknowledge that you will lose your right of withdrawal once the service has begun.

If you do wish to exercise your right of withdrawal before the service begins, you may use the Model Withdrawal Form in Appendix No. 1 and submit it to kontakt@mniamapp.com.

4.6 Cancellation of Subscription

You may cancel your Premium Plan subscription at any time through the App store settings (Google Play or Apple App Store) used to purchase the subscription. Upon cancellation:

• You will retain access to Premium features until the end of the current Subscription Period.
• No partial refunds will be issued for unused portions of a Subscription Period, except as required by applicable EU law.
• Your Account will revert to the Free Plan at the end of the Subscription Period.

4.7 Refunds

Refund requests for Premium Plans are governed by the policies of Google Play or Apple App Store, as applicable. Where EU Consumer law grants you a right to a refund (e.g. where the service was materially defective), please contact us at kontakt@mniamapp.com and we will work to resolve your request in accordance with applicable law.

4.8 Price Changes

We may modify subscription prices from time to time. We will provide you with at least 30 days' advance notice of any price change via the App or email. Price changes will apply from the start of the next Subscription Period following the notice. Continued use of the Premium Plan after the price change takes effect constitutes your acceptance of the new price.

5. Technical Requirements and Security

Using the Mniam App requires a compatible Mobile Device (smartphone or tablet) running Android 8.0 or later, or iOS 14 or later. An active internet connection is required for full functionality.

Modifications to your Mobile Device's operating system, custom configurations, or third-party software may affect the performance of the Mniam App. We are not responsible for issues arising from incompatible system modifications.

All costs of internet connectivity are borne by you in accordance with your agreement with your internet service provider.

We implement appropriate technical and organisational security measures to protect data processed within the Services. However, you should remain aware of general internet security risks and use appropriate precautions (e.g. keeping your device and software updated, using strong passwords).

6. User Obligations

By using the Mniam App, you confirm that you have read, understood, and agree to comply with these Terms of Use.

You may hold only one Account. Creating multiple Accounts is prohibited.

You agree to use the Mniam App lawfully, in accordance with applicable EU and national law, and in a manner consistent with the rights of other Users.

You must not upload or share User Content that:

• is defamatory, harassing, threatening, or abusive;
• violates any applicable law or regulation;
• promotes discrimination based on sex, age, disability, race, religion, nationality, ethnic origin, sexual orientation, or other protected characteristics;
• incites violence or illegal activity;
• infringes the intellectual property rights of Mniam or any third party;
• contains spam, misleading information, or malware;
• violates the privacy or personal data rights of third parties.

You agree not to attempt to reverse engineer, decompile, or extract the source code of the Mniam App. You must not use automated tools (bots, scrapers) to access or collect data from the App. You must not use the App to provide commercial services to third parties without our prior written consent.

7. User Content

You retain ownership of User Content you create and publish in the Mniam App. By sharing User Content in the App, you grant BonaCode a non-exclusive, worldwide, royalty-free, transferable licence to use, reproduce, display, and distribute your User Content solely for the purpose of operating, improving, and promoting the Mniam App and its Services.

You represent and warrant that you hold all necessary rights to the User Content you share, including rights to any images, text, or third-party materials included therein. You must not publish personal data or images of third parties without their consent.

If you become aware of User Content that violates these Terms of Use or applicable law, please report it using the in-App reporting function or by emailing kontakt@mniamapp.com with a description of the infringement.

Mniam reserves the right to remove User Content that violates these Terms of Use, applicable law, or the rights of third parties, without prior notice. Mniam may also suspend or terminate the Account of a User responsible for repeated or serious violations.

You are solely responsible for the accuracy, legality, and appropriateness of the Recipes and other content you publish.

8. Data Protection and GDPR

BonaCode is the data controller for personal data processed through the Mniam App. We process your personal data in compliance with Regulation (EU) 2016/679 (General Data Protection Regulation — GDPR) and other applicable EU and national data protection laws.

Details of how we collect, use, store, and protect your personal data, including the legal bases for processing and your rights as a data subject, are set out in our Privacy Policy available at: https://mniamapp.com/privacy-policy.

Your rights under GDPR include the right to access, rectify, erase, restrict processing of, and port your personal data, as well as the right to object to processing and to lodge a complaint with a supervisory authority. To exercise these rights, contact us at: kontakt@mniamapp.com.

By registering an Account, you confirm you are at least 16 years of age (or the applicable age of digital consent in your Member State). We do not knowingly collect data from minors below this age.

9. Duration and Termination of the Agreement

The Agreement is concluded for an indefinite period.

You may terminate the Agreement at any time with immediate effect, at no cost. To do so, delete your Account from your Profile in the App or send a termination request to kontakt@mniamapp.com, and uninstall the App from your device.

BonaCode may terminate the Agreement for significant reasons including:

• violation of these Terms of Use, including uploading prohibited content;
• violation of applicable law or third-party rights;
• repeated or serious security violations;
• permanent discontinuation of the Services;
• a court order or decision of a competent authority.

Termination for cause will be communicated by email to the address associated with your Account.

Upon termination of the Agreement, your Account and User Content will be deleted from the Mniam App, except for data retained by law or for legitimate business purposes as described in the Privacy Policy.

10. Right of Withdrawal

If you register for the Free Plan, you have the right to withdraw from the Agreement without giving any reason within 14 days of the date the Agreement is concluded, in accordance with Directive 2011/83/EU.

To exercise the right of withdrawal, submit a clear statement (e.g. using the Model Withdrawal Form in Appendix No. 1) to: kontakt@mniamapp.com.

Upon receiving a valid withdrawal notice, we will delete your data and any Digital Content created by you from the App within 14 days.

For rights of withdrawal relating to paid subscriptions, see Section 4.5.

11. Blocking and Deletion of Accounts

In the event of a violation of these Terms of Use or applicable law, we may, depending on the severity of the infringement:

• remove the offending User Content;
• issue a warning to the User;
• temporarily block the Account for up to 30 days;
• permanently delete the Account.

You may request deletion of your Account at any time from your Profile in the App or by emailing kontakt@mniamapp.com. Upon deletion, your User Content will be removed from the App. Account deletion requests submitted within 14 days of registration constitute a withdrawal under Section 10; those made later constitute termination under Section 9.

12. Modifications to the Agreement

We may modify these Terms of Use for significant reasons, including:

• changes in applicable law or regulatory requirements;
• changes to the Services or features offered;
• introduction of or changes to paid features or pricing;
• technical or operational changes;
• recommendations or decisions of courts or public authorities.

We will notify you of any changes via the App and/or by email, with at least 14 days' notice before the changes take effect. The notification will include the revised Terms and the effective date.

If you do not accept the changes, you may terminate the Agreement without penalty before the effective date. Continued use of the App after the effective date constitutes acceptance of the revised Terms.

13. Complaints

You have the right to file a complaint regarding the Mniam App's Services. Complaints should be submitted by email to: kontakt@mniamapp.com, including a description of the issue and the email address associated with your Account.

We will handle all complaints within 30 days and will notify you of our decision at the email address associated with your Account.

If you are not satisfied with our response, you may seek out-of-court dispute resolution. As a Consumer, you may also use the European Commission's Online Dispute Resolution (ODR) platform, available at: https://ec.europa.eu/consumers/odr.

You may also seek assistance from national consumer protection authorities or contact a consumer advocate in your country.

14. Intellectual Property

All intellectual property rights in the Mniam App, including its software, design, trademarks, and documentation, are exclusively owned by BonaCode. "Intellectual Property Rights" includes copyrights, patents, design rights, trade marks, trade secrets, and any other form of registered or unregistered intellectual property.

BonaCode grants you a limited, non-exclusive, non-transferable, revocable licence to use the Mniam App solely for your personal, non-commercial use in accordance with these Terms of Use. All rights not expressly granted are reserved.

You must not: (a) copy, modify, or create derivative works of the App; (b) reverse engineer or decompile the App; (c) use the App to provide services to third parties for profit; (d) remove any copyright or proprietary notices; or (e) use the App in any way that infringes Mniam's or any third party's intellectual property rights.

15. Limitation of Liability

Nothing in these Terms of Use limits or excludes Mniam's liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable EU consumer law.

Subject to the above, Mniam shall not be liable for: (a) indirect or consequential loss; (b) loss of data attributable to force majeure or third-party failures; (c) damage resulting from the User's own misuse of the App; or (d) temporary unavailability of the App due to maintenance or technical failures.

Mniam is not responsible for the accuracy or legality of User Content posted by other Users.

For Consumers and Entrepreneurs with Consumer Rights, Mniam's liability is determined by applicable EU and national consumer protection law, which takes precedence over any contrary provision in these Terms.

16. Indemnification

You agree to indemnify and hold BonaCode, its employees, affiliates, and licensors harmless from any claim, loss, damage, or expense (including reasonable legal fees) arising out of: (a) your use of the App in violation of these Terms; (b) your User Content; or (c) your violation of any third-party rights. This provision does not apply to Consumers or Entrepreneurs with Consumer Rights, who are liable under applicable statutory law.

17. Disclaimer of Warranties

The Mniam App is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, BonaCode disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be error-free, uninterrupted, or that all features will meet your requirements.

This disclaimer does not affect Consumer rights under applicable EU law.

18. Governing Law and Jurisdiction

These Terms of Use are governed by the law of the Republic of Poland and applicable EU law. For Consumers residing in the EU, the mandatory consumer protection provisions of the country in which the Consumer is habitually resident shall also apply, and nothing in these Terms shall deprive such Consumers of that protection.

Any disputes arising under or in connection with these Terms shall be subject to the jurisdiction of the competent Polish courts, unless mandatory EU procedural law (including Regulation (EU) No 1215/2012) provides otherwise. Consumers may bring proceedings in the courts of their country of habitual residence within the EU.

19. Final Provisions

These Terms of Use are available free of charge within the Mniam App and on the website at https://mniamapp.com/terms-of-use. You may download, print, and store them at any time.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

These Terms of Use do not restrict any rights available to Consumers or Entrepreneurs with Consumer Rights under mandatory applicable law.
